Overview

Julia Welch is an associate in the Capital Markets practice at Paul Hastings and is based in the firm’s New York office. Her practice focuses on a variety of domestic and cross-border debt and equity capital markets transactions for public companies and underwriters, including initial public offerings, follow-on equity offerings, investment-grade debt offerings, SPAC and deSPAC offerings, and PIPE financings.

Julia has represented corporate and financial institution clients in connection with transactions and general securities matters, including ‘34 Act reporting and corporate governance advisory work, for various companies in the tech, retail, food and beverage, energy, and consumer products industries.

Representations

  • Represented Getty Images Inc. in its approximately $4.8 billion business combination with CC Neuberger Principal Holdings II, a SPAC formed by a partnership of CC Capital and Neuberger Berman.
  • Represented Bank of America, Evercore, and Goldman Sachs, as representatives of the several underwriters, in a $132.25M secondary offering (including full exercise of the overallotment option) of 5,750,000 shares of common stock of The Vita Coco Company, Inc. by Verlinvest Beverages SA, as selling stockholder.
  • Represented J.P. Morgan and Morgan Stanley, as representatives of the underwriters, in the $998 million initial public offering of Fluence Energy, Inc. (a joint venture of Siemens AG and AES Energy Storage).
  • Represented NEOGEN Corporation in a Rule 144A $350 million private placement of senior notes to finance in part NEOGEN’s $5.3 billion combination with the Food Safety business of 3M.
  • Represented TE Connectivity Ltd. in a $500 million offering of senior unsecured notes by Tyco Electronics Group S.A.
  • Represented ATI Physical Therapy Inc. (a publicly traded company backed by Advent International), an outpatient physical therapy provider, in its $165 million private issuance of preferred shares and warrants to refinance existing indebtedness.
