The Federal Trade Commission has issued final rules effecting important changes to the premerger notification requirements under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (HSR Act), as they apply to formations and acquisitions of interests in limited liability companies, partnerships and other unincorporated entities.
