Overview
Stephanie Cannuli is an associate in the Bank Regulatory practice at Paul Hastings and is based in the firm’s New York office. She counsels U.S. and international banking organizations, nonbank financial services firms, and their investors and counterparties in connection with transactions and financial regulatory matters.
Ms. Cannuli represents clients before all of the major financial services regulatory agencies, including the Federal Reserve, FDIC, OCC and state banking departments. She advises clients on authority, control, and investment matters under the Bank Holding Company Act (Regulations K, W, Y), and prepares filings pursuant to such authority. She also provides guidance on corporate governance issues, such as related interests and management official interlocks (Regulations L, O), and other board-related matters, such as the regulatory review and approval process for proposed bank directors and senior executive officers.
Ms. Cannuli prepares regulatory submissions on clients’ behalf, including applications to federal regulators for approval to become a bank holding company, to acquire or merge with another banking institution, to engage in nonbanking activities, for a change in bank control, to establish an operating subsidiary, and to convert a charter, among others. She also reviews and draft responses to supervisory findings and regulatory enforcement actions, and assists clients in resolving regulatory compliance issues, including anti-money laundering, economic sanctions, banking secrecy and data protection compliance matters.
Ms. Cannuli previously worked at The Bank of New York Mellon, New York, where she served as Vice President and Counsel, Global Office of Public Policy & Regulatory Affairs. She received her law degree from American University, Washington College of Law in 2013, where she served as Editor-in-Chief of the Criminal Law Brief and Vice President of the Business Law Society.
Ms. Cannuli is admitted to practice law in New York, New Jersey and the District of Columbia.
