Overview

Mary Wilbourn is of counsel in the Securities and Capital Markets Group, based in Palo Alto. Ms. Wilbourn's practice focuses on representing both emerging growth private and public companies in capital markets and other corporate transactions, with a particular emphasis on early-stage and late-stage high-growth private companies. Ms. Wilbourn has been involved in more than 100 private company financings, providing extensive experience in venture capital and growth equity transactions.

Her experience includes serving as primary outside corporate and securities counsel to public companies, where she counsels clients on SEC reporting, corporate governance, and compliance matters. She also advises public companies and their boards of directors on shareholder activism and takeover defense matters, including numerous high-profile proxy contests.

​In addition to her work with private and public companies, Ms. Wilbourn has significant experience advising on initial public offerings (IPOs), follow-on offerings, and other capital markets transactions. Ms. Wilbourn's work spans a diverse range of industries, market capitalizations, and geographies.​​

Prior to joining Paul Hastings, Ms. Wilbourn was an associate at another international law firm.

  • Represented Vir Biotechnology in its $143 million IPO and $300 million S-1 follow-on offering.
  • Represented Procore Technologies in its $678 million IPO.
  • Represented Arctic Wolf Networks in its $401 million financing led by Owl Rock, a division of Blue Owl Capital, with participation from Viking Global Investors, the Ontario Teachers’ Pension Plan, and funds advised by Neuberger Berman.
  • Represented DataStax in its $115 million investment led by Goldman Sachs Asset Management.
  • Represented ThoughtSpot in its $100 million financing led by March Capital and joined by Lightspeed Ventures, Snowflake Ventures, Khosla Ventures, Fidelity, Capital One Ventures, General Catalyst, Sapphire Ventures, and GIC.
  • Represented Grafana Labs in its $240 million financing led by GIC, Singapore’s sovereign wealth fund and joined by JP Morgan, Sequoia Capital, Coatue, Lightspeed Venture Partners and Lead Edge Capital.
  • Represented Influxdata in its $51 million financing led by Princeville Capital and Citi Ventures and joined by Battery Ventures, Mayfield and Sapphire Ventures.
