Overview

Doug Brown is Of Counsel in the Securities and Capital Markets practice, based in the firm’s Washington, D.C. office. Using his previous experience as an attorney in the SEC’s Division of Corporation Finance and in-house at two publicly-traded companies, Mr. Brown practices corporate and securities law, with an emphasis on public company representation. A significant portion of his practice involves public company advisory work for ongoing clients on matters such as SEC reporting and compliance, securities disclosure issues, and corporate governance advice.

Before joining Paul Hastings, Mr. Brown was the Chief Counsel, Corporate Secretary, and Chief Compliance Officer at American Outdoor Brands, Inc., a publicly-traded Nasdaq-listed company, where he created and led the legal and compliance functions for the company from the time of its initial public offering until joining Paul Hastings. Before joining American Outdoor Brands, Mr. Brown was the Associate General Counsel at Vista Outdoor Inc., a publicly-traded NYSE-listed company, where he built and led the SEC legal reporting function from the time of the company’s initial public offering.

Earlier in his career, Mr. Brown was an associate at another international law firm and served as an attorney-adviser with the SEC in the Division of Corporation Finance. While at the SEC, Mr. Brown worked on a number of transactional and securities compliance matters.

Admitted in Missouri, Pennsylvania, and Utah. Supervised by an Attorney Licensed in the District of Columbia.
