Overview

Dinmukhamed (Din) Eshanov co-heads Paul Hastings’ Energy & Infrastructure practice in London, Paris and Abu Dhabi and co-chairs the firm’s Abu Dhabi office.

Din’s practice focuses on project development and finance. He counsels clients on a wide range of project development and construction agreements, such as engineering and procurement agreements; power purchase agreements; operation and maintenance agreements; build, own, operate and transfer agreements; and FIDIC-based agreements. His work spans a wide range of industries, from infrastructure to renewable energy.

Din also regularly advises on corporate, finance and commercial transactions, including mergers and acquisitions, private equity deals and joint ventures.

Representations

  • Representation of NEOM Green Hydrogen Company on all aspects of the US$8.4 billion NEOM Green Hydrogen Project. The project will be powered by 4GW of solar and wind energy and is expected to produce up to 600 tonnes per day of carbon-free hydrogen as the world's first utility-scale green hydrogen facility and the largest greenfield renewables project in history. The financing involved a syndicate of 21 commercial banks, ECAs and development finance institutions and was recognised as “Middle East & Africa Green Deal of the Year” at the PFI Awards 2022 and “Structured Loan Deal of the Year” at the Bonds, Loans & Sukuk Middle East Awards 2023;
  • Representation of a Saudi giga project in the financing of a multipurpose real estate development to include hotels, apartments, retail and commercial space, a lake and ski hills;
  • Representation of a Saudi giga project on the SAR 2 billion financing for the development of a world-class tourist destination on the Red Sea coast;
  • Representation of a Saudi giga project on a multibillion financing of cutting-edge residential and commercial units and hospitality and community assets that, once built, will be the largest floating structure in the world powered by 100% renewable energy;
  • Representation of an Abu Dhabi-based conglomerate, as sponsor, in connection with the negotiation of power purchase agreements in Burkina Faso;
  • Representation of an Abu Dhabi-based company, as sponsor, in connection with the conversion of two gas-fired power plants from single-cycle to combined cycle in Ras Al Khaimah, UAE, including advising on financing arrangements;
  • Representation of Abu Dhabi Future Energy Company PJSC, as sponsor, in connection with the development and financing of a 100MW solar plant in Al Ain, Abu Dhabi;
  • Representation of Abu Dhabi Future Energy Company PJSC, as sponsor, in connection with the development of a 17MW wind farm in the Republic of Seychelles, including advising on EPC and O&M contracts;
  • Representation of a Russian oil major in connection with the acquisition of a minority stake in the Abu Dhabi National Oil Company concession;
  • Representation of a Russian oil major in connection with drafting and negotiating various corporate and commercial agreements in the context of oil and gas transactions in the Republic of Iraq;
  • Representation of a leading global minerals and mining company in connection with a gold and copper mining and exploration joint venture with the state-owned mining company of Saudi Arabia.
