Paul Hastings Advises Pactiv Evergreen Inc. in Closing of $6.7 Billion Combination With Novolex

Paul Hastings LLP advised Pactiv Evergreen Inc. in its combination with Novolex. Novolex acquired Pactiv Evergreen for $18.00 per share in an all-cash transaction valued at $6.7 billion, inclusive of Pactiv Evergreen’s net debt. The transaction closed on April 1, 2025, making Pactiv Evergreen a privately held company.

Pactiv Evergreen is a leading manufacturer and distributor of fresh foodservice and food merchandizing products, as well as fresh beverage cartons, in North America. Novolex develops and manufactures diverse packaging products for multiple industries in the foodservice, delivery and carryout, food processor and industrial markets.
