Paul Hastings Advised SilverBox Corp IV and Vine Hill Capital Investment Corp. on Initial Public Offerings

Paul Hastings LLP advised SPACs SilverBox Corp IV and Vine Hill Capital Investment Corp. in connection with their initial public offerings.

SilverBox Corp IV consummated its initial public offering of 20,000,000 units. The units are listed for trading on the New York Stock Exchange under the ticker symbol “SBXD.U.” Each unit consists of one Class A ordinary share and one-third of one redeemable warrant of the Company. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share at an exercise price of $11.50 per share, subject to certain adjustments. The units were sold at an offering price of $10.00 per onit, generating gross proceeds of $200 million.

Vine Hill Capital Investment Corp. consummated its initial public offering of 22,000,000 units, including partial exercise of the underwriter’s over-allotment option. The units are listed for trading on the Nasdaq Global Market under the ticker symbol “VCICU.” Each unit consists of one Class A ordinary share and one-half of one redeemable warrant of the Company. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share at a price of $11.50 per share, subject to certain adjustments. The units were sold at an offering price of $10.00 per unit, generating gross proceeds of $220 million.
