Paul Hastings Elects Sixteen To Partnership

New York, NY (November 10, 2006) - Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, is pleased to announce today that sixteen lawyers, representing all five departments and all of our geographic regions, have been elected to the firm partnership.  Their election is effective February 1, 2007.

The following attorneys have been elected Partner:

Erwan Barre, a member of the Corporate Department, resident in the Paris office.  Mr. Barre focuses on M&A and securities law and also regularly advises French issuers in connection with the preparation of joint U.S. and French disclosure documents, liaising with the SEC and the AMF, and on corporate governance and Sarbanes-Oxley Act matters.
Raymond W. Bertrand, a member of the Employment Department, resident in the San Diego office. Mr. Bertrand represents private employers in all aspects of employment law. He has extensive experience litigating and counseling on a wide variety of federal and state employment-related issues, such as hiring/firing, discrimination, harassment, retaliation, FLSA, incentive compensation (bonus, commission, deferred compensation), disabilities, leaves of absence, outsourcing, reductions in force, severance agreements, restrictive covenants and litigation-avoidance strategies..

Richard S. Denhup, a member of the Corporate Department, resident in the New York office.  Mr. Denhup concentrates his practice in commercial lending, bankruptcy and creditors' rights.  He has experience in asset-based financing, senior and unsecured debt financing, bankruptcy proceedings, restructurings and workouts.

Jason M. Frank, a member of the Litigation Department, resident in the Los Angeles office.  Mr. Frank focuses on complex business litigation before both state and federal courts, with a primary emphasis on class action matters.  His practice includes the representation of a wide variety of companies in consumer class action litigation, unfair competition (Section 17200) class actions, business torts, telecommunication and insurance coverage matters.
Jay C. Gandhi, a member of the Litigation Department, resident in the Orange County, CA office. Mr. Gandhi specializes in complex business litigation, with a primary emphasis on securities litigation matters and officer and director liability, and a secondary emphasis on real estate cases.  His securities litigation practice includes representing a number of corporate and individual clients in a variety of federal and state shareholder class actions, derivative suits, and governmental investigations and enforcement proceedings.
Justin Hamer, a member of the Tax Department, resident in the London office.  Mr. Hamer has significant experience advising international clients on a broad spectrum of financial, tax and business matters relating to private equity, funds, and real estate and across a diverse range of other industries. He provides advice on both direct and indirect tax. His practice has a particular emphasis on tax efficient cross-border planning for funds and multi-national groups.

Maurice Hoo, a member of the Corporate Department, resident in the Hong Kong office.  Mr. Hoo focuses on private equity and venture capital, mergers and acquisitions, public offerings, and international joint ventures. He advises on all forms of corporate financing, whether private or public, whether in the form of equity or debt, whether as an acquisition or sale.

Jodi A. Kleinick, a member of the Litigation Department, resident in the New York office. Ms. Kleinick has had extensive experience representing clients in connection with the resolution of a wide range of commercial disputes through negotiation, mediation, arbitration, litigation and contested administrative proceedings before state and federal courts and government agencies.

Heather A. Morgan, a member of the Employment Law Department, resident in the Los Angeles office. Ms. Morgan's employment law practice is diverse, ranging from litigating single-plaintiff cases to defending high-stakes nationwide discrimination and wage-hour class actions.  She also regularly works closely with employers to review and revamp their personnel practices and ensure compliance with a broad range of legal mandates impacting recruitment, testing, selection/hiring, promotion, compensation, performance evaluation, discipline, termination, compensation and benefits.  Ms. Morgan also is a leader in employee privacy issues as well as complex electronic discovery requirements and processes.

Domenick Pugliese, a member of the Corporate Department, resident in the New York office.  Mr. Pugliese has extensive experience advising investment companies including mutual funds, closed-end funds, exchange-traded funds and business development companies as well as investment advisers and independent directors of investment companies.  He also has broad, in-depth experience regarding all aspects of Investment Company Act and Investment Adviser Act regulation.
Derek V. Roth, a member of the Real Estate Department, resident in the Los Angeles office.  Mr. Roth concentrates his practice in commercial, industrial and retail real estate development and leasing, including acquisitions and dispositions of real property, retail, industrial and office lease transactions and construction of multi-faceted projects.

Ted Smith, a member of the Real Estate Department, resident in the Atlanta office.  Mr. Smith practice focuses on the areas of real estate based lending and portfolio and project acquisitions, management, and divestitures and has involved agent representation in syndicated loans, mezzanine lending with extensive intercreditor negotiations, and securitized lending for projects and portfolios of various sizes.

Zachary R. Walton, a member of the Real Estate Department, resident in the San Francisco office.  Mr. Walton focuses on environmental law and represents developers and financial institutions in real estate transactions and permitting matters involving contaminated properties, wetlands, endangered species and water rights.  He also represents a number of industrial facilities that handle hazardous waste.
William K. Whitner, a member of the Litigation Department, resident in the Atlanta office.  Mr. Whitner's practice focuses on litigation with a particular emphasis on complex civil corporate matters.  His wide-ranging substantive commercial experience includes franchise, intellectual property, anti-trust, fraud and insurance related matters.
Jennifer S. Yount, a member of the Corporate Department, resident in the Los Angeles office.  Ms. Yount concentrates her practice in commercial and corporate finance, asset-based lending, and subordinated debt finance.  She has represented numerous commercial finance companies, hedge funds, and other lenders in establishing credit facilities for acquisitions, recapitalizations, restructurings, refinancings and working capital financings.

Arthur L. Zwickel, a member of the Corporate Department, resident in the Los Angeles office.  Mr. Zwickel practices in the areas of securities, corporate and investment management law. He represents privately held, emerging growth, and publicly traded companies in a variety of transactions, including mergers and acquisitions, private placements and public offerings. In addition, he advises broker-dealers, investment partnerships, investment advisers and investment companies on formation, financing and regulatory issues.
