Paul Hastings Advises Citibank and J.P. Morgan in Financing Fieldwood Energy LLCs Acquisition of Apache Corp. Assets

New York, NY-- Paul Hastings LLP, a leading global law firm, represented Citibank, N.A., as administrative Agent and collateral Agent, and Citigroup Global Markets Inc. and J.P. Morgan Securities LLC as lead arrangers in connection with the financing in connection with Fieldwood Energy LLC’s acquisition of certain offshore oil and gas assets of Apache Corp. for $3.75 billion.

Fieldwood Energy LLC is a portfolio company of New York-based private equity firm Riverstone Holdings LLC.

The financing consisted of a $1.2 billion reserve-based revolving credit facility, a $700 million first-lien term loan and a $1.7 billion second-lien term loan.
