Overview

Anna Rips is a partner in the Investment Funds & Private Capital practice at Paul Hastings and is based in the firm’s New York office. Ms. Rips focuses her practice on direct lending, private debt and credit funds. She represents U.S. and non-U.S. fund sponsors, asset managers, and investment advisers in connection with the structuring and distribution of U.S. and international private offerings of investment funds, including open and closed-end funds, hybrid funds in various asset classes, negotiated seed and strategic investments, joint ventures, secondaries and continuation vehicles, and other transactions. Ms. Rips also advises clients on compensation and carry arrangements, fund sponsor structuring and other legal issues and considerations relating to the establishment, marketing and operation of private investment funds on a global basis.

Ms. Rips advises clients on related general corporate and regulatory matters, such as compliance with the U.S. Investment Advisers Act, the U.S. Investment Company Act, and the rules and regulations of FINRA.
