Overview

Adam Winer is a senior associate in the firm's Emerging Growth Company practice and is based in the New York office.

Adam focuses on the representation of venture capital funds and emerging growth companies. He routinely counsels clients in connection with capital raising transactions, including venture capital and growth equity financings, and debt financings. Adam also advises clients on significant transactions including new company formations and spinouts, mergers and acquisitions, joint ventures, strategic alliances, intellectual property licensing, recapitalizations, and reorganizations. Additionally, Adam supports his emerging growth company clients on an ongoing basis with respect to governance matters, equity incentive plan design, and day-to-day corporate matters.

Prior to joining Paul Hastings, Adam practiced in the New York office of Sullivan & Cromwell LLP, where he advised on a wide range of complex transactions, including finance and restructuring matters, capital markets offerings, mergers and acquisitions, and real estate acquisitions, financings, and joint ventures.

Adam received his law degree from the New York University School of Law in 2018, where he served as a Notes Editor for the New York University Law Review. He received his B.A., First Class Honors, in Philosophy from McGill University in 2013.

Adam has represented a number of venture capital funds in connection with their investment activities, including Deerfield Management, Blackstone Life Sciences, Smash Capital, Infinity Ventures, Digitalis Ventures, Guggenheim and Black Ivy.

Adam has also represented Advance Publications, Atalaya Capital, Hanwha Solutions Corporation, the Hawthorne Collective, RIV Capital, Turning Point Brands, Canopy Growth, the Acumen Fund, and the Heritage Group in connection with their private company investment transactions.
