Paul Hastings is proud to have co-sponsored the Columbia Law School Conference on M&A and Corporate Governance on December 2nd, 2022

This outstanding conference which took place on December 2nd brought together speakers from academia, the judiciary, and the legal and finance industries to explore relevant issues in M&A and corporate governance. The day’s programming included discussions on the current state and future direction of the M&A market, the role of institutional investors and activists in dealmaking, recent SEC developments, and pertinent litigation developments. Paul Hastings co-sponsored the conference alongside the Columbia Law School Ira M. Milstein Center for Global Markets and Corporate Ownership and the Columbia Law School Center on Corporate Governance.

Eduardo Gallardo, Global Co-Chair of the Mergers & Acquisition practice group, served as a speaker on the Role of Institutional Investors and Activists in Dealmaking panel. The panel was moderated by Eric Talley, Isidor and Seville Sulzbacher Professor of Law and Faculty Co-Director of the Ira M. Millstein Center. Other speakers included Cristiano Guerra, Head of Special Situations Research at ISS, Lori Will, the Honorable Vice Chancellor, Delaware Court of Chancery and Lecturer in Law, University of Chicago Law School, and Ted Yu, Chief, Office of Mergers and Acquisitions in the Division of Corporation Finance, U.S. SEC. The panel explored current topics in shareholder activism, including sector trends, the potential impact of mandated universal proxy cards, proposed 13D regulations, and recent Delaware rulings.
