Paul Hastings Advised VINCI on £1.27 Billion Acquisition of Edinburgh Airport

Paul Hastings (Europe) LLP advised VINCI Airports (“VINCI”), the world’s leading private airports operator, in an agreement to acquire the majority shareholding in Edinburgh Airport Limited, the company that owns Edinburgh Airport, for £1.27 billion, subject to possible adjustments prior to completion of the transaction.
VINCI, a subsidiary of VINCI Concessions, will acquire an effective 50.01% stake in Edinburgh Airport Limited. The remaining 49.99% stake will be managed by Global Infrastructure Partners (“GIP”), which has owned the airport since 2012. The acquisition marks a new stage in the strategic partnership initiated by VINCI with GIP in 2019, when it acquired a majority stake in London Gatwick Airport.
Energy and Infrastructure M&A partners Jessamy Gallagher and Candice Lambeth led the Paul Hastings team, along with associates Jo Lee and Emily Madden. The team also included partners Stuart Rowson, Camille Paulhac, Jade-Alexandra Fearns, Ruth Knox, and Ally McKechnie; and associate Hattie Jones.
The transaction is expected to complete during summer 2024, following the receipt of regulatory approvals.
