Overview

Jeffrey Ii's practice focuses on executive compensation and employee benefits matters, including compensation and benefits issues arising in connection with mergers and acquisitions, initial public offerings and other corporate transactions.

Jeff advises domestic and international public and private clients on a wide range of equity and executive compensation matters, including the design and operation of equity compensation, incentive compensation, deferred compensation and other benefit plans, as well as the negotiation and structure of employment, retention, change-in-control and separation agreements. Also, Jeff advises clients on golden parachute issues as well as  executive compensation disclosure and benefits-related corporate governance, securities and tax law matters.
