Overview

Jack Fitzpatrick is a partner in the Corporate Department at Paul Hastings and is based in the firm’s New York office. Jack specializes in leveraged finance transactions, specifically private credit and special situations investing. He represents private credit funds, special situation and opportunistic funds, business development companies (BDCs), hedge funds and other investment advisors, leading financial institutions and borrowers in LBOs, leveraged finance, unitranche, first lien/second lien, mezzanine, debtor-in-possession financings, rescues, exits, liability management transactions and other secured and unsecured lending transactions.

Representations

  • Represented Empire Today (ad hoc group of secured lenders)
  • Represented a private credit fund in connection with $975 million senior secured unitranche revolving and term loan credit facilities, the proceeds of which were used to finance the acquisition of a top-level TLD registry operator and provider
  • Represented a private credit fund in connection with $935 million CAD senior secured unitranche revolving and term loan credit facilities and a related equity co-investment, the proceeds of which were used by a leading Canadian insurance broker to refinance its existing debt and to fund acquisitions
  • Represented a business development company and related funds in connection with a $665 million senior secured unitranche term loan credit facility, the proceeds of which were used to finance the acquisition of a food product and packaging company
  • Represented a private credit fund in connection with a $300 million secured term loan credit facility, including a portion of PIK-interest incremental term loans and a subsequent equity investment, the proceeds of which were used by an automotive remanufacturer to refinance existing debt and for general corporate purposes
  • Represented a private credit fund in connection with $325 million senior secured unitranche revolving and term loan credit facilities, the proceeds of which were used to finance the acquisition of a leading waste solution provider
  • Represented a private credit fund in connection with a $90 million term note facility, the proceeds of which were used by a specialty chemical solutions provider to fund working capital and general corporate purposes
  • Represented a private equity investment firm in connection with $225 million senior secured unitranche revolving and term credit facilities and a $57 million mezzanine unsecured term credit facility, the proceeds of which were used to finance the acquisition of a transport logistics company
  • Represented a private equity fund in connection with a $40 million senior unsecured term loan credit facility, the proceeds of which were used to fund the acquisition of an option to acquire the interest in a transmission line
  • Represented a multinational investment bank and financial services company in connection with $260 million senior secured unitranche revolving and term credit facilities, the proceeds of which were used by an outdoor advertising company to finance an asset acquisition
