Overview
Jessica Kelly is an associate in the Capital Markets practice at Paul Hastings and is based in the firm's New York office. Her practice focuses on a variety of domestic and cross-border debt and equity capital markets transactions for public companies and underwriters, including initial public offerings, follow-on equity offerings, investment-grade debt offerings, SPAC and deSPAC offerings, at-the-market programs, and PIPE financings.
Ms. Kelly has represented corporate and financial institution clients in connection with transactions and general securities matters, including '34 Act reporting and corporate governance advisory work, for various companies in the tech, retail, telecommunications, transportation, natural gas, mining, healthcare, biotech, and pharmaceutical industries.

- Represented the underwriters in connection with Kinder Morgan, Inc.'s $2.25 billion aggregate principal amount of senior notes;
- Represented the underwriters in connection with SilverBow Resources, Inc.'s upsized follow-on offering, resulting in gross proceeds to SilverBow Resources of approximately $104 million and to an affiliate of Strategic Value Partners, LLC, of approximately $44 million;
- Represented CVS Health Corporation in its $10.6 billion acquisition of Oak Street Health, Inc.;
- Represented the underwriters in connection with Lowe's Companies, Inc.'s. $3 billion aggregate principal amount of senior notes;
- Represented the underwriters in connection with American Tower Corporation's $2.3 billion follow-on public offering of common stock;
- Represented the underwriters in connection with Caribou Biosciences, Inc.'s $125 million follow-on public offering of common stock;
- Represented the sales agent in connection with the commencement of iRobot Corporation's at-the-market offering of up to $100 million.
